Terms of Service for Cyber Electra Inc.

These Terms of Service govern use of the Cyber Electra website and set out general terms that apply to business communications and service inquiries. Consulting engagements are governed by the applicable proposal, statement of work, master services agreement, non-disclosure agreement or other written agreement.

These Terms of Service apply to cyberelectra.com and related website content owned or operated by Cyber Electra Inc., based in Aurora, Ontario, Canada.

If you enter into a separate written agreement with Cyber Electra, that agreement will govern the applicable services. If there is a conflict between these website terms and a signed agreement, the signed agreement will govern for that engagement.

The website is for general information and business inquiries.

Use of the website does not create a consultant-client, advisory, fiduciary or professional services relationship with Cyber Electra.

Website content is provided for general informational purposes only. A professional relationship is created only when Cyber Electra and the client enter into a written agreement that has been accepted by both parties.

Authorized testingPenetration testing, vulnerability assessment, scanning, security validation and related technical work require prior written authorization and an agreed scope. Cyber Electra will not knowingly perform unauthorized testing.
Client responsibilitiesClients are responsible for providing accurate information, necessary access, lawful permissions, technical contacts, timely decisions, required approvals and cooperation needed to complete the engagement.
Reliance on informationCyber Electra may rely on information, documents, access, diagrams, representations and instructions provided by the client when preparing reports, findings and recommendations.
Legal scopeCyber Electra may provide services and deliverables requested by clients where the work is lawful, authorized and within the agreed scope.

Cyber Electra does not publish public payment terms on this website and does not currently take payments directly through the website.

Fees, payment timing, taxes, expenses, cancellation terms and invoicing details are handled according to the applicable proposal, invoice, order form, statement of work or signed agreement.

Refunds, credits, scope changes and rescheduling are handled according to the signed agreement or written terms accepted for the engagement.

Cyber Electra may pause, suspend or withhold work, access, deliverables or support where invoices are overdue, subject to the applicable agreement and law.

Reports and deliverables

Security reports are point-in-time professional deliverables.

Cybersecurity findings are based on scope, information, access and conditions available during the engagement.

Use of deliverables

Internal use and permitted sharing

Deliverables are prepared for the client’s internal business use and any additional lawful use expressly permitted in the applicable agreement. Clients may share deliverables with auditors, regulators, insurers, customers, legal advisors or other parties where permitted by the agreement, required by law or approved by Cyber Electra in writing.

Point-in-time

Findings may change

Security conditions, threats, vulnerabilities, systems, configurations and business processes may change after a report is prepared. Deliverables reflect the scope and information available at the time of the engagement.

No guarantee

No assessment finds everything

No security assessment, penetration test, vulnerability assessment, privacy review or compliance review can guarantee that systems are free from vulnerabilities, risks, incidents, control gaps or future compromise.

Third-party reliance. Unless the applicable agreement states otherwise, no third party may rely on Cyber Electra deliverables without Cyber Electra’s prior written permission. Cyber Electra is not responsible for decisions made by third parties based on unauthorized use of deliverables.
Technology partners

Third-party tools and vendor services have their own terms.

Cyber Electra may recommend, evaluate, resell, implement or support third-party cybersecurity technologies.

Third-party technologies, subscriptions, software, cloud services, platforms, licenses, support terms, warranties and service levels are governed by the applicable vendor’s terms, agreements, policies and documentation.

Cyber Electra is not responsible for third-party product defects, outages, vendor terms, vendor pricing changes, data handling by vendors or third-party service performance except to the extent expressly stated in a written agreement signed by Cyber Electra.

The website may contain links to third-party websites. Cyber Electra is not responsible for the content, security, privacy practices or terms of third-party websites.

Confidentiality

Confidential information is handled through written agreements.

Cyber Electra may receive confidential business, technical, privacy, cybersecurity or compliance information during professional services engagements.

Cyber Electra handles client-provided confidential information in accordance with the applicable agreement, NDA, statement of work and professional obligations.

Limits

Written terms control

Detailed confidentiality duties, exclusions, handling rules, return and deletion obligations are governed by written agreements between Cyber Electra and the client.

Do not submit secrets casually

Do not submit highly sensitive credentials, secrets, regulated records or confidential security materials through the public website contact form unless Cyber Electra has instructed you to do so using an approved method.

Warranties and liability

Standard limitations apply to website use and services.

The detailed liability terms for a client engagement should be reviewed in the applicable signed agreement.

The website and website content are provided on an “as is” and “as available” basis. Cyber Electra does not warrant that the website will be uninterrupted, error-free, secure or free from harmful components.

Any warranties, service commitments, remedies or disclaimers related to consulting services are governed by the applicable signed agreement. To the maximum extent permitted by law, Cyber Electra disclaims warranties not expressly stated in writing.

To the maximum extent permitted by law, Cyber Electra will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, including lost profits, lost revenue, lost data, business interruption, reputational harm or loss of goodwill. Where no separate written agreement applies, Cyber Electra’s total aggregate liability for claims related to website use or services will be limited to the fees paid to Cyber Electra for the specific service giving rise to the claim during the 12 months before the claim arose.

Cybersecurity work reduces risk but does not eliminate risk. Cyber Electra does not guarantee that a client will avoid all incidents, vulnerabilities, breaches, losses, regulatory issues or third-party claims.

Indemnity and termination

Website misuse may create responsibility for losses.

You agree to defend, indemnify and hold harmless Cyber Electra, its directors, officers, employees, contractors and representatives from claims, losses, damages, liabilities, costs and expenses arising from your misuse of the website, violation of these terms, unlawful conduct or infringement of third-party rights.

Cyber Electra may update or restrict access

Cyber Electra may update, suspend, restrict or discontinue any part of the website at any time. Cyber Electra may also update these Terms of Service from time to time by posting a revised version with a new “Last updated” date.

Governing law

These terms are governed by Ontario law.

These Terms of Service and any dispute related to website use are governed by the laws of the Province of Ontario and the applicable laws of Canada, without regard to conflict of law rules.

Ontario courts. Subject to any mandatory law or applicable written agreement, disputes related to these Terms of Service or website use will be brought in the courts located in Ontario, Canada, and you consent to the jurisdiction of those courts.
